JLC Testing

1. Agreement to These Terms

These Terms of Service ("Terms") form a binding agreement between you and JLC Testing LLC, a New York limited liability company ("JLC Testing," "we," "us," or "our"). By accessing jlctesting.com, creating an account, or participating in any testing batch, you agree to these Terms. If you do not agree, you must not use the service.

We may update these Terms at any time. Material changes will be communicated by email or in-app notice. Your continued use of the service after changes take effect constitutes acceptance of the updated Terms.

2. Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts in your jurisdiction to use this service. By using JLC Testing you represent and warrant that:

You are 18 years of age or older
You are using the service only for lawful purposes
You will comply with all applicable federal, state, and local laws in your jurisdiction
You have not been previously suspended or removed from the service
You are not located in a jurisdiction where use of this service is prohibited

We reserve the right to deny access to any person at our sole discretion.

3. Nature of the Service

JLC Testing is an invite-only members club that coordinates third-party laboratory verification of research peptide batches. Specifically, the service:

Allows verified members to express interest in testing specific vendor batches
Pools member contributions to fund testing at independent accredited laboratories
Coordinates the logistics of getting member-provided vials to those laboratories
Distributes the resulting laboratory reports privately to participating members

JLC Testing is not a vendor, manufacturer, distributor, or seller of research compounds. We do not source, sell, ship, or recommend any peptide, amino acid, or other compound. JLC Testing is not a laboratory. All testing is performed by independent third-party laboratories. JLC Testing does not provide medical, legal, scientific, or professional advice of any kind. Laboratory results are presented as raw data for laboratory research purposes only.

4. Membership and Accounts

Membership is invite-only. Public signup is not available. To become a member you must receive an invite from an existing member or be approved through manual access request. We reserve the right to grant or deny membership at our sole discretion.

You are responsible for maintaining the security of your account credentials and all activity that occurs under your account. We may suspend or terminate any account at any time, with or without notice, for any reason including but not limited to violation of these Terms, fraudulent activity, or any conduct we deem harmful to the service or other members.

5. Member Contributions and Refunds

By contributing to a batch, you agree:

Your contribution is a payment for coordination services and a pro-rata share of laboratory testing costs, not a purchase of any compound
Your contribution is non-refundable once the batch reaches the "Confirmed" stage and laboratory testing has been initiated
If a batch is cancelled before reaching minimum participation, contributions will be refunded within 30 days, less any payment processing fees
If a laboratory test fails to produce results due to circumstances beyond our control, we will use reasonable efforts to refund unused funds but make no guarantee of full refund

You agree not to initiate chargebacks or payment disputes for properly completed services. Doing so may result in account suspension.

6. Laboratory Results

Laboratory results are provided to participating members on an "as-is" basis. By participating in a batch, you acknowledge:

Results reflect only the specific vials tested at the time of testing
Results are provided for laboratory research purposes only and must not be used as a basis for medical, dietary, or therapeutic decisions
We make no warranty regarding the accuracy, completeness, or fitness of laboratory results for any purpose
The independent laboratory, not JLC Testing, is the source of all analytical data
You will not republish, sell, or commercially exploit laboratory results without our express written consent

7. Sample Chain of Custody

When a member donates vials for testing: title to donated vials transfers to the testing laboratory upon receipt by the laboratory, not to JLC Testing. JLC Testing acts solely as a coordinator and does not take physical or legal possession of vials. Donating members are solely responsible for ensuring their donation complies with all applicable laws including mail and shipping regulations.

8. Prohibited Conduct

You agree not to:

Use the service for any illegal purpose
Use the service to facilitate the sale or distribution of any compound
Recommend or imply that any compound tested through the service is fit for human or animal consumption
Misrepresent your identity, age, or eligibility
Attempt to access accounts, batches, or results you have not paid for
Republish private discussion threads, member identities, or laboratory results outside the service
Use the service to harass, abuse, or harm other members
Attempt to circumvent the invite-only structure

9. Intellectual Property

All content on the service created by JLC Testing, including text, design, logos, branded reports, software code, and the JLC Testing name and trademarks, is owned by JLC Testing LLC or our licensors. You may not copy, modify, distribute, or create derivative works from our content without our prior written permission.

User-generated content (discussion posts, comments, reactions) remains your property, but by posting it you grant JLC Testing a worldwide, royalty-free, non-exclusive license to display, store, and distribute that content within the service.

10. Disclaimer of Warranties

THE SERVICE AND ALL CONTENT, RESULTS, AND INFORMATION ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JLC TESTING DISCLAIMS ALL WARRANTIES INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OPERATION.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JLC TESTING LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, ANY LABORATORY RESULTS, OR ANY USE OF COMPOUNDS BY YOU OR THIRD PARTIES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO JLC TESTING IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

12. Assumption of Risk

You expressly acknowledge and assume full responsibility for the legal, safety, and regulatory implications of any compound you possess, donate, or otherwise interact with. You release JLC Testing from all liability arising from your handling, possession, transport, or use of any compound.

13. Indemnification

You agree to defend, indemnify, and hold harmless JLC Testing LLC and its members, officers, employees, contractors, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the service, your violation of these Terms, or any compound you possess, donate, ship, or use.

14. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute arising out of or relating to these Terms or the service shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in New York County, New York, by a single arbitrator.

Class Action Waiver. You and JLC Testing agree that each may bring claims only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

Exceptions. Either party may bring an action in small claims court for disputes within that court's jurisdiction. Either party may seek injunctive relief in court for intellectual property infringement.

Opt-out. You may opt out of this arbitration provision by sending written notice to legal@jlctesting.com within thirty (30) days of first agreeing to these Terms.

15. Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict of laws principles. To the extent any dispute is not subject to arbitration, you and JLC Testing consent to the exclusive jurisdiction of the state and federal courts located in New York County, New York.

16. Termination

You may terminate your account at any time by emailing support@jlctesting.com. We may terminate or suspend your account at any time, with or without notice, for any reason. Sections that by their nature should survive termination will survive.

17. Force Majeure

JLC Testing is not liable for any delay or failure in performance caused by circumstances beyond its reasonable control, including acts of God, government actions or seizures, laboratory closures, shipping carrier failures, internet outages, or pandemic.

18. Changes to the Service

We reserve the right to modify, suspend, or discontinue any part of the service at any time without notice.

19. Severability

If any provision of these Terms is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force.

20. Entire Agreement

These Terms, together with the Privacy Policy and Disclaimer, constitute the entire agreement between you and JLC Testing regarding the service.
